Acceptable Use Policy

Purpose

This Acceptable Use Policy (“AUP”) governs the use of all websites, software platforms, applications, APIs, services, and systems provided by United Software Developers Inc., doing business as USD GoPay (the “Company”).

This AUP is incorporated by reference into the Company’s Terms and Conditions and applies to all users of the Services.

Historical Services and Policy Updates

The Company has provided software and technology services for many years prior to the Effective Date of this AUP.

This AUP represents a consolidated and updated statement of acceptable use requirements that applies to all continued and future use of the Services as of the Effective Date, regardless of when you first began using any Company services.

Continued use of the Services on or after the Effective Date constitutes acceptance of this AUP.

General Use Requirements

You agree to use the Services:

  • In compliance with all applicable laws, regulations, and rules
  • In accordance with the Company’s Terms and Conditions and Privacy Policy
  • Only for lawful, authorized, and legitimate business or personal purposes

You are solely responsible for all activity conducted through your account.

Prohibited Activities

You may not use the Services to engage in, facilitate, or promote any of the following activities:

A. Illegal or Unlawful Conduct
  • Violation of any local, state, federal, or international law or regulation
  • Fraud, money laundering, or deceptive practices
  • Intellectual property infringement or privacy violations
B. Payment, Merchant, and Financial Misuse
  • Processing payments for illegal, deceptive, or prohibited goods or services
  • Misrepresenting business activities during merchant onboarding
  • Excessive chargebacks, transaction laundering, or fraud
  • Circumventing card network rules or Payment Partner restrictions
C. SMS and Messaging Abuse
  • Sending unsolicited, deceptive, or illegal messages
  • Failing to obtain required recipient consent
  • Ignoring opt‑out requests (e.g., “STOP”)
  • Engaging in spam, phishing, or harassment
D. Data, Records, and Search Misuse
  • Using driving record or property data for prohibited purposes
  • Using Services for employment screening, tenant screening, credit decisions, or other FCRA‑regulated activities
  • Relying on informational data as the sole basis for regulated decisions
  • Attempting to re‑sell, scrape, or redistribute accessed data without authorization
E. System Abuse and Security Violations
  • Attempting unauthorized access to systems or networks
  • Reverse engineering, decompiling, or exploiting the Services
  • Introducing malware, viruses, or malicious code
  • Attempting to bypass security controls or usage limits
F. Harassment and Harmful Conduct
  • Harassment, threats, or abusive behavior
  • Dissemination of hateful, obscene, or harmful content
  • Conduct that harms the reputation, security, or operations of the Company or its users

Use of Cloud Infrastructure and Storage

You may not use the Services or associated cloud storage (including document uploads stored on AWS S3) to store, transmit, or distribute:

  • Illegal content
  • Malware or malicious code
  • Content that violates intellectual property or privacy rights
  • Content prohibited by law or this AUP

You remain responsible for all content you upload or process.

Monitoring and Enforcement

The Company reserves the right, but does not assume the obligation, to:

  • Monitor usage of the Services
  • Investigate suspected violations of this AUP
  • Remove content or restrict access
  • Suspend or terminate accounts without notice

Enforcement actions may be taken at the Company’s sole discretion.

Consequences of Violations

Violations of this AUP may result in:

  • Immediate suspension or termination of access
  • Termination of merchant services or messaging privileges
  • Reporting to Payment Partners, SMS carriers, or regulators
  • Legal action or cooperation with law enforcement

Termination does not relieve you of financial or contractual obligations.

User Responsibility and Indemnification

You are solely responsible for your use of the Services.

You agree to indemnify and hold harmless the Company from any claims, damages, fines, penalties, or liabilities arising from:

  • Your violation of this AUP
  • Your misuse of the Services
  • Your failure to comply with applicable laws

Changes to This Acceptable Use Policy

The Company may update this AUP from time to time. Updates will be posted with a revised “Last Updated” date.

Continued use of the Services after changes are posted constitutes acceptance of the updated AUP.
